Fuel Sure Pte. Ltd.

Terms of Service

These Terms govern access to and use of Fuelsure websites, applications, dashboards, APIs and related services.

Effective date: 7 October 2026

These Terms are written for business use. If you use Fuelsure on behalf of an organisation, you confirm that you have

authority to bind that organisation to these Terms.

1. About Fuelsure and these Terms

Fuel Sure Pte. Ltd. (UEN 202553154H) is a Singapore private company limited by shares with its registered office at

8 Marina Boulevard, #29-01 Marina Bay Financial Centre, Singapore 018981 ("Fuelsure", "we", "us" or "our"). We

provide marine fuel procurement transparency, supplier-performance intelligence, benchmarking, analytics and

related digital services (the "Services").

These Terms form a legally binding agreement between Fuelsure and the person or organisation using the Services

("you" or "Customer"). By creating an account, accepting these Terms, signing an order form that refers to them, or

otherwise using the Services, you agree to be bound by them. If a signed order form, data-sharing agreement, data

processing agreement or other written agreement between you and Fuelsure conflicts with these Terms, that written

agreement prevails to the extent of the conflict.

2. Eligibility and authority

The Services are intended for business and professional users. You must have legal capacity to enter into this

agreement. If you use the Services for an employer or other organisation, you represent that you are authorised to

accept these Terms on its behalf.

3. Accounts and access

 Account information. You must provide accurate information and keep it up to date.

 Security. You are responsible for safeguarding login credentials, access links and devices used to access the

Services, and for activity carried out through your account unless caused by Fuelsure.

 Authorised users. You may allow only authorised personnel to use your organisation's account and must

promptly remove access when it is no longer required.

 Access tiers. Features may be made available on free, trial, contributor, pilot or paid terms. The applicable

scope may be described in-product, during onboarding or in a separate order form or agreement.

4. The Services

Fuelsure may provide supplier rankings, true-cost indicators, fuel quality and quantity analytics, service-performance

metrics, port and market benchmarks, claims information, operational views, comparison tools, integrations, alerts

and other decision-support features. We may add, modify or discontinue features from time to time, subject to any

commitments in a separate written agreement.

The Services are analytical tools. They do not replace professional judgement, laboratory testing, contractual review,

sanctions or compliance checks, operational verification, or any legal, technical, financial or regulatory advice that

may be appropriate to a particular transaction.

5. Customer Data

"Customer Data" means data, documents, records and other materials that you or your authorised users provide,

upload, connect, transmit or otherwise make available to Fuelsure, including through integrations. Customer Data

may include operational, commercial, vessel, supplier, fuel, transaction, quality, quantity, claims and related records.

As between the parties, you retain ownership of Customer Data. You grant Fuelsure a worldwide, non-exclusive

licence to host, copy, process, analyse, transform and otherwise use Customer Data only as reasonably necessaryFuel Sure Pte. Ltd. | UEN 202553154H | https://fuelsure.io

to provide, secure, support and improve the Services; comply with law; enforce our agreements; and exercise the

rights in section 6 below. This licence lasts for as long as reasonably necessary for those purposes.

You represent that you have all rights, permissions and lawful bases necessary to provide Customer Data to

Fuelsure and to permit the processing described in these Terms and our Privacy Policy. You must not provide data

that you are prohibited from disclosing to us.

6. Aggregated data, benchmarking and derived insights

Fuelsure may create statistics, benchmarks, scores, models, supplier-performance measures and other derived

information from Customer Data and other data sources ("Derived Data"). We may use and disclose Derived Data

for the Services, benchmarking, research, product development, commercial intelligence and related business

purposes, provided that information disclosed outside your organisation is aggregated, de-identified or otherwise

presented so that it does not reasonably identify you as the contributing customer, unless you have agreed

otherwise in writing.

Fuelsure owns the methodologies, models, scoring logic, benchmark structures and other intellectual property used

to create Derived Data. Nothing in this section transfers ownership of your underlying Customer Data to Fuelsure.

7. Data-contributor access

Fuelsure may offer enhanced or additional access in exchange for a customer making agreed data available to

Fuelsure. Where this applies, the data scope, access method, permitted uses, security requirements and any

additional conditions will be stated during onboarding or in a separate written agreement. If the agreed data

contribution stops or materially changes, Fuelsure may adjust or withdraw the associated access after reasonable

notice, unless the applicable written agreement says otherwise.

8. Acceptable use

You must use the Services lawfully and in accordance with these Terms. You must not, and must not enable anyone

else to:

 access or use the Services in a way that violates applicable law or third-party rights;

 misrepresent your identity, authority or affiliation;

 attempt to gain unauthorised access to the Services, accounts, systems or networks;

 introduce malware or interfere with the availability, integrity or security of the Services;

 reverse engineer, decompile or attempt to discover source code, non-public models or underlying algorithms,

except to the extent such restriction is prohibited by law;

 scrape, systematically extract or reproduce substantial parts of the Services or Fuelsure datasets for the

purpose of creating or training a competing product or service;

 resell, sublicense or make the Services available to third parties except as expressly permitted in writing; or

 use supplier, market or customer information obtained through the Services to harass, defame or unlawfully

discriminate against any person or organisation.

9. Accuracy, market information and third-party data

The Services may rely on customer-provided data, supplier information, public information, third-party data feeds,

laboratory or survey records and statistical methods. Such information can be incomplete, delayed, incorrect or

subject to interpretation. Benchmarks, rankings, scores and alerts are estimates and decision-support outputs, not

guarantees of future performance, price, quality, quantity, availability, creditworthiness, compliance or outcome.

You are responsible for verifying information that is material to a procurement, operational, contractual, regulatory or

financial decision. Fuelsure does not act as broker, trader, bunker supplier, surveyor, laboratory, insurer, lawyer or

financial adviser merely by providing the Services.

10. Third-party services and integrations

The Services may interoperate with third-party products, identity providers, communications tools, cloud services,

data sources or websites. Third-party services are governed by their own terms and privacy practices. Fuelsure is

not responsible for third-party products or for interruptions, changes or losses caused by them, except to the extent

required by law or expressly agreed in writing.Fuel Sure Pte. Ltd. | UEN 202553154H | https://fuelsure.io

11. Fees, taxes and commercial terms

If a feature or service is subject to fees, the price, billing terms and applicable taxes will be shown at purchase or set

out in an order form or other written agreement. Unless stated otherwise, fees are non-refundable once the relevant

service period has begun, except where required by law. Free, trial or contributor access may be changed or

withdrawn in accordance with the applicable access terms.

12. Fuelsure intellectual property

Fuelsure and its licensors retain all rights in the Services and related software, interfaces, designs, documentation,

content, databases, scoring systems, methodologies, models, benchmarks, trade marks and other intellectual

property, excluding Customer Data. Subject to these Terms, Fuelsure grants you a limited, non-exclusive, non-

transferable, revocable right to access and use the Services for your organisation's internal business purposes

during the period in which you are authorised to use them.

If you provide suggestions or feedback, you grant Fuelsure a perpetual, worldwide, royalty-free licence to use that

feedback without restriction or obligation to you, provided we do not identify you as the source without permission.

13. Confidentiality

Each party may receive non-public information that is confidential by nature or identified as confidential

("Confidential Information"). The receiving party will use the other party's Confidential Information only for the

relationship contemplated by these Terms, protect it using reasonable care, and disclose it only to personnel and

service providers who need to know it and are bound by appropriate confidentiality obligations. These obligations do

not apply to information that is public through no breach, was lawfully known without restriction, is independently

developed without use of the confidential information, or is lawfully received from a third party. A party may disclose

Confidential Information where required by law, where legally permitted giving reasonable prior notice to the other

party.

14. Privacy and data protection

Our Privacy Policy explains how we handle personal data when we act for our own purposes. Where Fuelsure

processes personal data on your behalf as a data intermediary or processor, any applicable data processing terms

or written agreement between us will also apply. You remain responsible for your own data protection obligations,

including providing notices and obtaining permissions required for data that you make available to Fuelsure.

15. Suspension and termination

You may stop using the Services at any time. Either party may terminate an applicable service in accordance with

any separate written agreement. Fuelsure may suspend or restrict access where reasonably necessary to address a

security risk, suspected misuse, non-payment, legal requirement, breach of these Terms, or risk to the Services or

other users. Where practicable, we will give notice and an opportunity to remedy the issue.

On termination, your right to use the affected Services ends. Provisions that by their nature should survive

termination will survive, including provisions on intellectual property, confidentiality, Derived Data, disclaimers,

liability, indemnities and dispute resolution. Fuelsure may retain Customer Data where required by law, to resolve

disputes or enforce agreements, or as otherwise set out in our Privacy Policy or a separate written agreement.

16. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "as available" and "as is" basis. Fuelsure

does not warrant that the Services will be uninterrupted, error-free or suitable for every purpose, or that any data,

benchmark, ranking, score, alert or other output will be complete, current or accurate in every case. Any implied

warranties, conditions or terms that may lawfully be excluded are excluded.

17. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for

fraud or fraudulent misrepresentation. Subject to that:

 neither party is liable for indirect, incidental, special, exemplary or consequential loss, or for loss of profit,

revenue, business, goodwill, anticipated savings or data, arising out of or in connection with the Services; andFuel Sure Pte. Ltd. | UEN 202553154H | https://fuelsure.io

 Fuelsure's aggregate liability arising out of or in connection with the Services and these Terms will not exceed

the greater of (a) the fees paid or payable by you to Fuelsure for the affected Services during the 12 months

before the event giving rise to the claim, and (b) SGD 100.

The limitations in this section apply regardless of the legal basis of the claim and to the maximum extent permitted

by law.

18. Indemnity

You will indemnify Fuelsure against third-party claims, losses and reasonable costs arising from (a) Customer Data

that you did not have the right to provide or authorise us to process, (b) your unlawful or unauthorised use of the

Services, or (c) your material breach of section 8, to the extent the claim was not caused by Fuelsure's breach,

negligence or wilful misconduct. Fuelsure will give you reasonable notice of an indemnified claim and reasonable

cooperation in its defence.

19. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. The courts of

Singapore have exclusive jurisdiction over disputes arising out of or in connection with these Terms, unless a

separate written agreement between you and Fuelsure provides otherwise.

20. Changes to these Terms

We may update these Terms from time to time. The latest version will be posted on our website with its effective

date. If a change is material and you have an account, we may also provide notice through the Services or by email.

Continued use of the Services after the updated Terms take effect constitutes acceptance of the updated Terms,

except where applicable law or a separate agreement requires a different process.

21. General

 Entire agreement. These Terms, together with any applicable order form or other written agreement, form the

agreement concerning the subject matter they cover.

 Assignment. You may not assign these Terms without Fuelsure's prior written consent, except as part of a

bona fide corporate reorganisation or sale of substantially all relevant assets. Fuelsure may assign these Terms

as part of a reorganisation, financing, merger, acquisition or sale of its business or assets.

 No waiver. A failure to enforce a right is not a waiver of that right.

 Severability. If a provision is unenforceable, it will be modified to the minimum extent necessary, and the

remaining provisions will continue in effect.

 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control,

except for payment obligations.

 Notices. Operational notices may be provided through the Services or by email. Formal legal notices to

Fuelsure should be sent to the contact details below.
